- ACCEPTANCE MESSAGE
- Notification from the SEC that an electronic submission has met the minimum filing requirements and been accepted by EDGAR. If the submitter or filer has an Internet electronic mail (e-mail) address, the acceptance messages are sent by e-mail to that account. Acceptance messages are also sent to all Internet e-mail addresses on the Notification page.
- ACCEPTED
- The term that describes a filing that has successfully passed acceptance review. A live filing is deemed public at this point.
- ACCESS CODES
- This is a set of codes that enable an individual to access the SEC's filing websites and carry out SEC filings. Mainly these codes are comprised of your CIK, Password, CCC and PMAC. You may generate (or regenerate) these codes at any time by accessing the SEC's Filer Management website and using your Passphrase.
- ACCESSION NUMBER
- A unique number generated by the EDGAR system for each individual electronic submission. Accession numbers are reported to submitters and filers in the acceptance and suspense messages. Assignment of an accession number does not mean that EDGAR has accepted your submission.
- ASCII
- American Standard Code for Information Interchange. ASCII is a very basic, bare-bones text format, and is very limited in it’s formatting capabilities. All lettering has to be the same size and font with no bolding, italicizing, underlining or color.
- CCC - CIK Confirmation Code.
- The CCC is a confidential code used in combination with the CIK to submit a filing via EDGAR. The CCC is eight characters having at least one number (0-9) and at least one special character (@, #, $, *). The CCC is also case-sensitive and must be entered exactly as created, in lower case.
- CIK - Central Index Key.
- The CIK is a unique, public 10-digit number that is assigned to you by the SEC when you register to become an SEC Filer. Every SEC filer has a unique CIK, which never changes.
- CONFIDENTIAL
- Refers to portions of documents omitted from public filings pursuant to SEC rules (e.g., Rule 406 under 1933 Act).
- CONFIRMING COPY
- An electronic copy of a paper filing. The paper filing being the official copy and the confirming copy being an electronic duplicate.
- CORRESPONDENCE SUBMISSION
- A submission type EDGAR participants may use to submit non-public information, generally correspondence, to the SEC staff.
- DOCUMENT FORM TYPE
- The distinct type of submission that must be filed pursuant to the federal securities laws (e.g., 1934 Act Form 10-K or a PRE14A for a preliminary proxy statement).
- EDGAR
- The SEC's Electronic Data Gathering, Analysis, and Retrieval system for electronic filing.
- FILE NUMBER
- A number assigned by the SEC to registrations, applications, and reports.
- FORM ID
- The form used to apply for access codes needed to use EDGAR, namely the CIK, Password, CCC, and PMAC.
- HTML
- Hypertext Markup Language is a simple markup language you can use to create documents that are portable from one platform to another. The EDGARized HTML format will closely resemble the look and formatting of your original Word or Excel document.
- PASSPHRASE
- This is a special sequence of 8 characters which you specify when you register with the SEC to become an SEC filer. You must remember or note down your passphrase carefully, since the SEC does not include it in its communication to you. Your passphrase enables you to generate the access codes needed to access the SEC's filing websites. Note that passphrase is not the same as password - the latter is one of the access codes that you obtain by using your passphrase.
- PASSWORD
- A unique, confidential code assigned to EDGAR participants that must be used in conjunction with the CIK number. You must enter these two codes correctly to access EDGAR. You must use the Form ID to apply for a password.
- Portable Document Format. We create a pdf of your EDGARized proof and email it to you. PDF’s must be converted to EDGAR format in order to be filed and recognized by the SEC.
- PMAC
- Password Modification Authorization Code. An eight-character code required to modify your password. The PMAC is a code of eight characters having at least one number (0-9) and at least one special character (@, #, $, *). The PMAC is case-sensitive and must be entered exactly as created, in lower case. The PMAC is meant to be a private code and should be held in strictest confidence.
- REGISTRANT
- The issuer of securities for which a registration statement, report, proxy, or information statement is filed.
- SEC
- U.S. Securities and Exchange Commission.
- SROs
- Self-Regulatory Organizations. The Exchange which the filer is traded on. Example
SROs are:
- NYSE - New York Stock Exchange
- BSE – Boston Stock Exchange
- NASD - National Association of Securities Dealers
- SUBMISSION HEADER INFORMATION
- Information that precedes the text of each electronic submission and document submitted therewith via EDGAR that identifies characteristics of the submission such as Form type, SROS, period ended, etc. This information should be reviewed in the Submission Proof provided to you after the EDGARization process, prior to filing.
- SUBMISSION PROOF
- A submission proof is an HTML version of the submission that shows all the documents in the filing as well as all the pertinent filing information such as Form Type, filing codes, contact information, etc. The Submission Proof is representative of how the filing will look when it is filed with the SEC. It is very important to review the information included in the submission header prior to giving authorization to transmit with the SEC.
- SUBMISSION
- A submission is the fundamental unit of information that is transmitted to EDGAR for receipt, validation, and acceptance. It is the conveyance of a document or series of documents, in electronic format, to the SEC via EDGAR.
- SUSPENDED FILING
- Filings that have not successfully passed EDGAR’s acceptance review are placed in a suspended status indicating fatal flaws within the submission. Suspended filings are deleted in six business days.
- TAXONOMY
- In the context of an XBRL filing, taxonomy refers to a set of defined reporting concepts, along with a complete and exact specification of their properties and relationships.
- TEST FILING
- A submission made to EDGAR to test the validity of a filing in an EDGAR-acceptable format. Such filings are neither publicly available nor retained on the filing database. EDGAR sends the results of a test filing acceptance review to the filer via acceptance or suspense messages. A test filing cannot be changed to a live filing. eXfile always Test files your document prior to Live filing.
- URL
- Universal Resource Locator, also known as an Internet address.
- US-GAAP Taxonomy
- A set of defined reporting concepts for XBRL filings, along with specification of their properties and relationships, as set forth in the United States Generally Accepted Accounting Principles specification.
- XBRL
- Acronym for eXtensible Business Reporting Language. This is a document language derived from XML, and adapted for business and financial reporting. XBRL is a method of tagging financial information so that it can be accessed and utilized without re-keying the information. The SEC currently accepts documents furnished in XBRL as secondary documents, but they may not be filed as main documents. This is changing as XBRL filing requirements are phased in starting summer 2009.
